About Triodos (www.triodos-im.com)
Triodos Investment Management (“Triodos IM”) is a globally active impact investor based in the Netherlands. We see impact investing as a driving force in the transition to a more inclusive and sustainable world. With over 30 years' experience under our belt, we’re globally recognised for impact investing and our active stewardship. We currently focus on five interlinked transitions: food, resource, energy, society and wellbeing. As an active-only investor across multiple asset classes, Triodos IM solely offers Article 9 funds which under the EU SFDR have sustainable investment as their objective.
About the Luxembourg funds
The two funds each have Boards composed of the same five members. Due to the upcoming retirement of two members, we are looking for two new Luxembourg-resident, independent non-executive directors (iNEDs) committed to the Triodos mission.
- Triodos SICAV I, a Luxembourg UCITS fund, with 8 sub-funds each aiming to create positive impact by investing in listed equities and/or bonds across the five interlinked transitions and with a long-term horizon.
- Triodos SICAV II, a Luxembourg AIF with its main sub-fund the Triodos Microfinance Fund, aiming to create positive impact by promoting financial inclusion through long-term private debt and equity investments.
Both funds invest globally, including in developing countries.
About the Board roles
The effective functioning of the Boards depends on a well-balanced Board composition, in which individual members complement each other’s skills and can work together harmoniously.
General Fund Director criteria & expertise
- Alignment with Triodos IM’s mission and each funds’ long-term missions
- Proven leadership experience via Board and/or senior management roles
- Strategic and commercial acumen, with ability to:
- Provide independent judgment and constructive challenge on Board issues of strategy, competitive positioning, performance, risk assessment and oversight of the ManCo/AIFM and other service providers
- Oversee financial controls, risk management, and governance frameworks to ensure operational resilience
- Oversee the effectiveness of each fund’s governance framework and compliance with relevant regulatory requirements
- Strong ethical and governance standards, as well as an independent mindset
- Understanding of investment management and EU and Luxembourg fund structures
- Digital and cybersecurity literacy
- International perspectives and exposure to international markets, sectors and cultures
- English language fluency
Specific Director expertise sought
We encourage applications from candidates of all nationalities, genders, ages, and backgrounds, but you must be Luxembourg resident. We welcome those with skills that complement and enhance the current Board composition:
- Fund administration (e.g. fund accounting, domiciliation, custody, transfer agency, etc.)
- Luxembourg asset management regulatory, compliance and risk management environments, including AML/CTF
- Distribution and marketing of investment funds
- FinTech and other innovative financial services businesses
- Investment management and broader financial markets experience
Your Commitment
- +/- 15 days per year, of which
- +/- 5 in-person meetings (4 Board meetings in Luxembourg, plus periodic diligence meetings at service providers including at Triodos IM in the Netherlands)
- Willingness to make a long-term commitment to the funds and their missions
- Dedicate sufficient time to stay up-to-date with relevant market, regulatory, ESG and impact investing developments
- Remuneration in line with market standards for comparable roles
